Content Creator Terms of Service


These Terms of Service, also called "TOS" or "the TOS", apply for you as a "Content Creator"or "The Content Creator". The purpose of the TOS is to keep you informed of your Legal Rights and Obligations with respect to making a profile on and its subdomains, marks and services (also called "the service, "service", "Woomio", "","we","our"or"us", legal name Woomio ApS).

Basically, this is a contract between you - the user of - and us, the provider of the service

The following TOS (Terms of Service) describes the services we can provide to you, how we will work together, and other aspects of our relationship. Remember it is a legal document so some of the language is necessarily "legalese", but we have tried to make it as readable as possible. If you do not understand parts of this document please do not hesitate to contact us at [email protected] or in the chat down in the right corner.

These terms are so important that we cannot provide our products and services to you unless you agree to them. By using the Service or receiving the Consulting Services, you are agreeing to these terms.

We periodically update these terms. If you have signed up as a Content Creator on content creator with an active account, we will let you know when we update these terms and we will do so via an email or in-application notification.


As we mention above, we want to make sure that you understand your rights even though this is a contract, and contracts are filled with legal terms. In this section, we have collected many of the remaining legal terms that makes up our User Terms of Service.


Woomio is intended for individuals aged thirteen (13) or older. You have to be eighteen years or older to accept these terms. If you are under eighteen (18) years of age, please do not start using the service without having permission from your legal guardian.

For such time as these Terms are in effect, we grant you permission to visit and use the site provided that you comply with these Terms and applicable law.

In order to use the services that Woomio provides to Content Creators, you have to create an account as a Content Creator ("Content Creator Profile"). You agree not to create an Account for anyone else or use the account of another without their permission. When creating your Account, you must provide accurate and complete information. You are solely responsible for the activity that occurs in your account, and you must keep your account password secure. You are obligated to notify Woomio immediately of any breach of security or unauthorized use of your account. You are solely responsible and liable for the activity that occurs in connection with your account. If you wish to delete your account, please go to Settings in your account to make the deletion. You you are prohibited to:

Your general right to access and use the Service is currently free. Woomio has plans in the future to introduce several add-on features that will involve a fee for access. You will not be charged for any such access or use of the service unless you first agree and willingly independently purchase access to such add-on features, but please be aware that any failure to pay applicable charges may result in you not having access to some add-ons or all of the service.

You shall be solely responsible for your User Submissions and the consequences of posting, publishing or uploading them. We have complete discretion whether to publish your submissions and we reserve the right in our sole discretion and without further notice to you, to monitor, censor, edit, remove, delete, and/or remove any and all content on the Site (including User Submissions) at any time and for any reason.

You represent and warrant that you own or have the necessary rights and permissions to use and authorize content creator to use all Intellectual Property Rights (defined below) in and to your User Submissions, and to enable inclusion and use thereof as contemplated by the service and these Terms of Service for Content Creators.
Unless the User Submissions are separately referred to, all references herein to Content shall include references to User Submissions. "Intellectual Property Rights" means any and all rights, titles and interests, whether foreign or domestic, in and to any and all trade secrets, patents, copyrights,service marks, trademarks, know-how, or similar intellectual property rights, as well as any and all moral rights, rights of privacy, publicity and similar rights of any type under the laws or regulations of any governmental, regulatory, or judicial authority, foreign or domestic. You retain all ofyour ownership rights in and to your User Submissions.

You agree that you will not display, post, submit, publish, upload or transmit a User Submission that: (i) is unfair or deceptive under the consumer protection laws of any jurisdiction; (ii) is copyrighted, protected by tradesecret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights; (iii)creates a risk to a person's safety or health, creates a risk to public safety or health, compromises national security, or interferes with an investigation by law enforcement; (iv) impersonates another person; (v) promotes illegal drugs, violates export control laws, relates to illegal gambling, or illegal arms trafficking; (vi) is unlawful, defamatory, libelous,threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, gives rise to civil liability, violates any law, or is inappropriate; (vii) involves theft or terrorism; or (viii) is otherwise malicious or fraudulent.

You understand and acknowledge that when accessing and using the service: (i) you will be exposed to User Submissions from a variety of sources, and that content creator is not responsible for the accuracy, usefulness, safety, or Intellectual Property Rights of, or relating to, such User Submissions; and (ii) you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable. You hereby agree to waive, and herebydo waive, any legal or equitable rights or remedies you may have against content creator with respect to (i) and (ii) herein.

You agree not to spam, and will not, use the communications systems provided by the service to send unauthorized commercial communications and you shall be solely responsible and liable for any such unauthorized communications.

The (i) content on the Site, including without limitation, the text, documents, articles, brochures, descriptions, products, software, graphics, photos, sounds, videos, interactive features, and services (collectively, the"Materials"), (ii) and User Submissions, as defined below (together with the "Materials", the "Content"), and (iii)the trademarks, service marks and logos contained therein ("Marks"), are the property of content creator and/or its licensors and may be protected by applicable copyright or other intellectual property laws and treaties. "Woomio", the Woomio logo, and other marks are Marks of Woomio or its affiliates. All other trademarks, service marks, and logos used on the Site are the trademarks, service marks, or logos of their respective owners. We reserve all rights notexpressly granted in and to the service and the Content.

Content on the service is provided to you for your information and personal use only and may not be used, modified, copied, distributed, transmitted, broadcast, displayed, sold, licensed, de-compiled, or otherwise exploited for any other purposes whatsoever without our prior written consent. If you download or print a copy of the Content you must retain all copyright and other proprietary notices contained therein.

These Terms are effective until terminated by Woomio or you. Woomio, is in its sole discretion, and has the right to terminate these Terms and/or your access to the service, or any part thereof, immediately at any time and with or without cause (including, without any limitation, for a breach of these Terms). Woomio shall not be liable to you or any third party for termination of the service, or any part thereof. If you object to any term or condition of these Terms of Service, or any subsequent modifications thereto, or become dissatisfied with the service in anyway, your only recourse is to immediately discontinue use of the service and delete you account. Upon termination of these Terms, you shall cease alluse of the service. This Section, Intellectual Property Rights, License to User Submissions, Privacy, Warranty Disclaimers, Limitation of Liability, Indemnity, Independent Contractors, General shall survive termination of these Terms.

You and Woomio are independent contractors. Nothing in these Terms of Services creates a partnership, joint venture, agency, or employment relationship between you and Woomio. You must not under any circumstances make, or undertake, any warranties, representations, commitments or obligations on behalf of Woomio.

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by Woomio without restriction or notification to you. Any prohibited assignment shall be null and void.

Woomio reserves the right to discontinue or modify any aspect of the service at any time. These Terms of Service and the relationship between you and Woomio shall be governed by and construed in accordance with the laws of Copenhagen, Denmark, without regard to its principles or conflict of laws. You agree to submit to the personal and exclusive jurisdiction of the courts located in Copenhagen, Denmark and waive any jurisdictional, venue, or inconvenient forum objections to such courts, provided that Woomio may seek injunctive relief in any court of competent jurisdiction.

These Terms shall constitute the entire agreement between you and content creator concerning the Service. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity ofsuch provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and a party's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.=20 You agree that any of actions that you may have arising out of or related to the service must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred

  • We attempt to be as accurate as possible. However, we cannot and do not warrant that the content available on the service is accurate, complete, reliable, current, or error-free. We reserve the right to make changes in or to the content, or any part thereof, in our sole judgment, without the requirement of giving any notice prior to or after making such changes to the content. Your use of the content, or any part thereof, is made solely at your own risk and responsibility.

    The Site may contain links, and may enable you to post content, to thirdparty websites that are not owned or controlled by content creator. We arenot affiliated with, have no control over, and assume no responsibility for the content, privacy policies, or practices of, any third party websites.You: (i) are solely responsible and liable for your use of and linking to third party websites and any content that you may send or post to a third party website; and (ii) expressly release content creator from any and all liability arising from your use of any third party website. Accordingly, we encourage you to read the terms and conditions and privacy policy of each third party website that you may choose to visit.

    content creator permits you to link to the service provided that: (i) you link to but do not replicate any page on this Site; (ii) the hyperlink text shall accurately describe the content as it appears on the Site; (iii) you shall not misrepresent your relationship with content creator or presentany false information about content creator and shall not imply in any waythat we are endorsing any services or products, unless we have given you our express prior consent; (iv) you shall not link from a website ("Third Party Website") which prohibits linking to third parties; (v) such Third party Website does not contain content that (a) is offensive or controversial (both at our discretion), or (b) infringes any intellectual property, privacy rights, or other rights of any person or entity; and/or (vi) you, and your website, comply with these Terms and applicable law.

    We will use any personal information that we may collect or obtain in connection with the service in accordance with our privacy policy.

    It is our policy to respect the legitimate rights of copyright and other intellectual property owners, and we will respond to clear notices of alleged copyright infringement in accordance with applicable law.

    This section applies whether or not the services provided under the Site are for payment. Applicable law may not allow the exclusion of certain warranties, so to that extent certain exclusions set forth herein may not apply.

    The service is provided on an "as is" and "as available" basis and without warranties of any kind either express or implied. Woomio hereby disclaims all warranties, express or implied, including but not limited implied warranties of merchantability, title fitness for a particular purpose, non-infringement, and those arising by statute or from a course of dealing or usage of trade. Woomio does notguarantee that the site will be free of bugs, security breaches or virus attacks. The service may occasionally be unavailable for routine maintenance, upgrading, or other reasons. You agree that Woomio will not be held responsible for any consequences to you or any third party that may result from technical problems of the internet, slow connection, traffic congestion or overload of our or other servers. We do not warrant, endorse or guarantee any content, product or service that is features on the site by a third party. Woomio does not warrant, endorse or guarantee any content that appears in a user submission, and does not make any representation or warrantywith respect to, and disclaims all liability for, any such content.

    You specifically acknowledge that Woomio shall not be responsible for the user submissions or conduct (including defamatory, offensive, illegal, or negligent conduct) of any site user and that the risk of harm or damage from the foregoing rests entirely with you.

    Your reliance on, or use of, any user submission, or interaction with any site user or owner, is at your sole risk. If you have a dispute with any of the service user or owner, in connection with the service or any user submission, you agree that content creator is not liable for any claims or damages arising our of or connected with such a dispute. Woomio reserves the right, but has no obligation, to monitor such dispute.

    Except as expressly stated in our Privacy Policy, Woomio does not make any representations, warranties or conditions of any kind, express or implied, as to the security of any information you may provide or activities you engage in during the course of your use of the site.

    To the fullest extent of permissible law, Woomio shall not be liable for any direct, indirect, exemplary, special, consequential or incidental damages of any kind, or any loss of data, revenue or profits or reputation, arising under the these terms or out of your use of, or inabillity touse, the site, even if content creator has been advised of the possibility of such damages or losses. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

    You agree to defend, indemnify and hold harmless Woomio and our affiliates, and our respective directors, employees, officers and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from: (i) your use of, or inability to use, the service; (ii) your userSubmissions; (iii) your interaction with any service user; or (iv) your violation of these Terms.

    Woomio uses authorized data from Instagram, YouTube, Google Analytics, Facebook, and other platforms ("Social Platforms"). Such data is collected and stored to power Woomio features. You can delete your authorized data from Woomio at any time, using the Site (under Data Connections), or delete your account entirely, using the Site (under Settings).

    1. Use of the Subscription Service by Woomio and our Customers

    The Woomio Service allows any Content Creator that uses it (our customers and Woomio itself) to get insights from their channels into a mediakit, so they can learn about their followers on social media. The information added to the Subscription Service, either by site visitors providing their contact information or when a Content Creator user adds theinformation, is stored and managed on our service providers' servers. This information is then used to contact visitors about their interest in the company's goods or services and interact with the company. Woomio provides the Subscription Service to our customers for their own marketing, for managing their relationship with content creators.

    Our customers use the Subscription Service to build realtionships with content creators, with the purpose of creating content together. Woomio does not control the content or the types of information that our customers may choose to collect or manage using the Subscription Service. That information belongs to them and is used, disclosed and protected by them according to their privacy policies and is not subject to this Privacy Policy. Woomio processes our customers' information as they direct and in accordance with our agreements with our customers, and we store it on our service providers' servers, but we do not have control over its collection or management. Our agreements with our customers prohibit us from using that information, except as necessary to provide and improve the Subscription Service, as permitted by this Privacy Policy, and as required by law. We have no direct relationship with individual Content Creators who provide Personal Information to our customers. Woomio acknowledges that you have the right to access your Personal Information. Our customers control and are responsible for correcting, deleting or updating information they have collected from you using the Subscription Service. If requested to remove data we willrespond within a reasonable timeframe. We may work with our customers to help them provide notice to their visitors about their data collection, processing and usage. Our agreements with our customers prohibit them from using the Subscription Service to collect, manage, or process Sensitive Information. We are not responsible for our customers' use of information they collect on the Subscription Service.

    Woomio collects information under the direction of its customers, and has no direct relationship with the individuals whose Personal Information it processes. If you are a Content Creator of one of our customers and would no longer like to be contacted by one of our customer that use our Subscription Service, please contact the customer that you interact with directly. We may transfer Personal Information to companies that help us provide our service. Transfers to subsequent third parties are covered by the service agreements with our customers.

    This refers to credit or debit card numbers, personal financial account information, Social Security numbers, passport numbers, driver's license numbers or similar personal identifiers, racial or ethnic origin, physical ormental health condition or information, or other employment, financial or health information.

    When You Visit our Websites you are free to explore the Websites without providing any Personal Information about yourself. When you visit the Websites or register for the Subscription Service, we request that you provide Personal Information about yourself, and we collect information on how you navigate the site.

    We send push notifications from time to time in order to update you about events occurring on the platform If you no longer wish to receive such communications, you may turn them off by writing [email protected]

    We may link information we store within the analytics software to Personal Information you submit within the Application. We do this to improve services we offer you and improve our marketing, analytics and site functionality.

    This refers to any information that you voluntarily submit to us and that identifies you personally, including contact information, such as your name, e-mail address, company name, address, phone number, and other information about yourself or your business. Personal Information can also include information about any transactions, both free and paid, that you enter intoon the Websites, and information about you that is available on the internet, such as from Facebook, LinkedIn, Twitter and Google, or publicly available information that we acquire from service providers.

    Personal Information also includes Navigational Information or Payment Information where such information can directly or indirectly identify an individual. Navigational information refers to information about your computer and your visits to this website such as your IP address, geographical location, browser type, referral source, length of visit and pages viewed. Please see the "Navigation Information" section below. Payment information includes We collect and process payment information from you when you subscribe to the Subscription Service, including credit cards numbers and billing information, using third party PCI-compliant service providers. Except for this, we do not collect Sensitive Information from you.

    When you use our services our view content provided by us, we automatically collect information about your computer hardware and software. This information can include your IP address, browser type, domain names, internet service provider (ISP), the files viewed on our site (e.g., HTML pages, graphics, etc.), operating system, clickstream data, access times and referring website addresses. This information is used by Woomio for the operation of the Subscription Service, to maintain quality of the Subscription Service, and to provide general statistics regarding use of the Woomio Website. For these purposes, we do link this automatically-collected data to Personal Information such as name, email address, address, and phone number.

    Information we collect from third parties

    From time to time, we may receive Personal Information about you from third party sources including partners with which we offer co-branded services or engage in joint marketing activities, and publicly available sources such as social media websites.

    The Websites are not intended for or targeted at children under 18, and we do not knowingly or intentionally collect information about children under 18 If you believe that we have collected information about a child under 18, please contact us at [email protected], so that we may delete the information.

    2. How We Use Information We Collect

    Compliance with Our Privacy Policy

    We use the information we collect only in compliance with this Privacy Policy. Customers who subscribe to our Subscription Services are obligated through our agreements with them to comply with this Privacy Policy.

    We will never sell your Personal Information to any third party.

    Use of Personal Information

    In addition to the uses identified elsewhere in this Privacy Policy, we may use your Personal Information to:

    We may, from time to time, contact you on behalf of external business partners about a particular offering that may be of interest to you. In those cases, we do not transfer your Personal Information to the third party.

    We use the information collected through our Subscription Service by ourcustomers for the following purposes:

    Legal basis for processing Personal Information (EEA visitors only)

    If you are a visitor/customer located in the European Economic Area ("EEA"), Woomio Denmark is the data controller of your personal information. Woomio's Data Protection Officer can be contacted at [email protected]

    Our legal basis for collecting and using the personal information described above will depend on the personal information concerned and the specific context in which we collect it. However, we will normally collect personal information from you only where we have your consent to do so, where we need the personal information to perform a contract with you, or where the processing is in our legitimate interests and not overridden by your data protection interests or fundamental rights and freedoms. In some cases, we may also have a legal obligation to collect personal information from you.

    If we ask you to provide personal information to comply with a legal requirement or to perform a contract with you, we will make this clear at the relevant time and advise you whether the provision of your personal information is mandatory or not (as well as of the possible consequences if you donot provide your personal information). Similarly, if we collect and use your personal information in reliance on our legitimate interests (or those of any third party), we will make clear to you at the relevant time what those legitimate interests are.

    We use Navigational Information to operate and improve the Websites and the Subscription Service. We may also use Navigational Information alone orin combination with Personal Information to provide you with personalized information about Woomio.

    We post customer testimonials and comments on our Websites, which may contain Personal Information. We obtain each customer's consent via email prior to posting the customer's name and testimonial.

    If you give us credit card information, we use it solely to check your financial qualifications and collect payment from you. We use a third-party service provider to manage credit card processing. This service provider is not permitted to store, retain, or use information you provide except for the sole purpose of credit card processing on our behalf.

    We use a variety of security technologies and procedures to help protect your Personal Information from unauthorized access, use or disclosure. We secure the Personal Information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use or disclosure. All Personal Information is protected using appropriate physical, technical and organizational measures.

    How long we keep information we collect about you depends on the type of information, as described in further detail below. After such time, we will either delete or anonymize your information or, if this is not possible,then we will securely store your information and isolate it from any further use until deletion is possible.

    We retain Personal Information that you provide to us where we have an ongoing legitimate business need to do so (for example, as long as is required in order to contact you about the Subscription Service or our other services, or as needed to comply with our legal obligations, resolve disputes and enforce our agreements).

    When we have no ongoing legitimate business need to process your Personal Information, we securely delete the information or anonymise it or, if this is not possible, then we will securely store your Personal Information and isolate it from any further processing until deletion is possible. We will delete this information from the servers at an earlier date if you so request, as described in "To Unsubscribe from Our Communcations" below.

    If you provide information to our customers as part of their use of the Subscription Service, our customers decide how long to retain the personal information they collect from you. If a customer terminates its use of the Subscription Service, then we will provide customer with access to all information stored for the customer by the Subscription Service, including any Personal Information provided by you, for export by the customer according to our agreement with our customer. After termination, we may, unless legally prohibited, delete all customer information, including your Personal Information, from the Subscription Service.

    If you have elected to receive marketing communications from us, we retain information about your marketing preferences for a reasonable period of time from the date you last expressed interest in our content, products, orservices, such as when you last opened an email from us or ceased using your Woomio account. We retain information derived from cookies and other tracking technologies for a reasonable period of time from the date such information was created.

    Service Providers

    We employ other companies and people to provide services to visitors to our Websites, our customers, and users of the Subscription Service and may need to share your information with them to provide information, products or services to you. Examples may include removing repetitive information from prospect lists, analyzing data or performing statistical analysis, providing marketing assistance, processing credit card payments, supplementing the information you provide us in order to provide you with better service, and providing customer service or support. In all cases where we share your information with such agents, we explicitly require the agent to acknowledge and adhere to our privacy and customer data handling policies.

    In addition, we may share data with trusted partners to contact you based on your request to receive such communications, help us perform statistical analysis, or provide customer support. Such third parties are prohibited from using your Personal Information except for these purposes, and they are required to maintain the confidentiality of your information.

    We partner with trusted third parties to provide you with co-marketing content that we think may be relevant to you. When you engage with these co-marketing partners, we will tell you who we are sharing data with, and provide a link to the co-marketing partner's privacy policy so you can learn more about how to opt-out of the partner's communications. These co-marketing partners are required to adhere to our privacy and data protection policies.

    If we (or our assets) are acquired by another company, whether by merger, acquisition, bankruptcy or otherwise, that company would receive all information gathered by Woomio on the Websites and the Subscription Service. Inthis event, you will be notified via email and/or a prominent notice on our website, of any change in ownership, uses of your Personal Information, and choices you may have regarding your Personal Information.

    We reserve the right to use or disclose your Personal Information if required by law or if we reasonably believe that use or disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or comply with a law, court order, or legal process.

    International Transfers within Woomio's Entities to facilitate our global operations, we transfer information to either Ireland or the United States and allow access to that information from countries in which the Woomio affiliated entities have operations for the purposes described in this policy.

    This Privacy Policy shall apply even if we transfer Personal Informationto other countries. We have taken appropriate safeguards to require that your Personal Information will remain protected. When we share information about you within and among Woomio's affiliated entities, we make useof standard contractual data protection clauses, which have been approved by the European Commission, and we rely on the EU-U.S. and Swiss-U.S. Privacy Shield Framework to safeguard the transfer of information we collect from the European Economic Area and Switzerland. Please see our Privacy Shieldnotice below for more information.

    Some of the third parties described in this privacy policy, which provide services to us under contract, are based in other countries that may not have equivalent privacy and data protection laws to the country in which you reside. When we share information of customers in the European Economic Area or Switzerland, we make use of the EU-U.S. and Swiss-U.S. Privacy Shield Frameworks, European Commission-approved standard contractual data protection clauses, binding corporate rules for transfers to data processors, or other appropriate legal mechanisms to safeguard the transfer. Please see our Privacy Shield Notice below.

    Woomio is responsible for the processing of personal data it receives under the Privacy Shield Framework and subsequently transfers to a third party acting as an agent on its behalf. Woomio complies with the Privacy Shield Principles for all onward transfers of personal data from the EU and Switzerland, including the onward transfer liability provisions.

    With respect to personal data received or transferred pursuant to the Privacy Shield Framework, Woomio is subject to the regulatory enforcement powers of the U.S. Federal Trade Commission. In certain situations, Woomio maybe required to disclose personal data in response to lawful requests by public authorities, including to meet national security or law enforcement requirements.

    Under certain conditions, more fully described on the Privacy Shield website, you may be entitled to invoke binding arbitration when other dispute resolution procedures have been exhausted.

    Woomio and its partners use cookies or similar technologies (such as webbeacons) to analyze trends, administer the website, track users' movements around the website, and to gather demographic information about our user base as a whole.     Navigational Information Collected by Our Customers

    Our customers can use the tools we provide, as well as tools provided bythird parties, to collect Navigational Information when you visit their webpages on the Subscription Service. Woomio does not control our customers' use of these tools, nor do we control the information they collect or how they use it.

    Single Sign-On

    You can log in to our site using a Single Sign-on (SSO) service as your Facebook account.
